Doing business in Germany

If you are considering doing business in Germany, you can of course do so from your Dutch company. But your German customers will prefer to do business with a German company. They then know exactly where they stand and what rights and obligations they have. This is why many Dutch entrepreneurs choose to set up a German company from a commercial point of view. You can choose from different legal forms.

German legal forms

Germany has various legal forms, such as GbR, oHG, KG, AG, UG and the most common: GmbH. Just as in the Netherlands, we make a distinction between so-called partnerships and capital companies:

Partnerships

  • The Gesellschaft bürgerliche Rechts (GbR): this business form is comparable to the Dutch partnership.
  • The Kommanditgesellschaft (KG) is similar to the Dutch limited partnership.
  • The GmbH & Co. KG is also a limited partnership with the GmbH as personally liable shareholder.
  • The Offene Handelsgesellschaft (oHG): this business form is comparable to the Dutch general partnership.

Capital companies

  • The Gesellschaft mit beschränkter Haftung (GmbH): this legal form is comparable to a Dutch BV.
  • The Aktiengesellschaft (AG): this form of entrepreneurship is similar to the Dutch public limited company.
  • The Unternehmergesellschaft mit beschränkter Haftung (UG). This is comparable to a Flex bv.

How do you choose the right legal form?

Various factors play a role in choosing the right legal form for your company, such as the number of shareholders, the size of your company, its image on the market and the extent to which you want to be liable. Naturally, the available starting capital also plays a role.
